Je zou het niet direct verwachten als je in Amsterdam-Zuidoost langs het grauwe zeven verdiepingen tellende kantoorpand komt, maar binnenkort wordt vanuit een van de kantoren uit het Amerika-gebouw een keur aan organisaties van faam aangestuurd: autoconcern Fiat Chrysler, voetbalclub Juventus, zakenblad The Economist en Ferrari.
Het is allemaal het gevolg van het besluit van de bemiddelde Italiaanse familie Agnelli om hun belangrijkste holding naar Nederland te verhuizen. De afgelopen jaren verplaatste het Fiat-concern al belangrijke onderdelen naar een trustkantoor in de Bijlmer. Het gebeurde met Ferrari NV, met Fiat Chrysler Automobiles NV en ook met de vrachtwagendivisie CNH Industrial NV (Iveco).
Nu volgt dus ook het vehikel van waaruit de familie Agnelli zijn zakelijke belangen bestuurt. De Agnelli’s hebben net als de familie Heineken het tot kunst verheven om met zo min mogelijk geld hun invloed te optimaliseren.
Bij bierbrouwer Heineken resulteert een holding die nét de meerderheid van een andere holding bezit erin dat de erfgenamen van Freddy Heineken met een kapitaalbelang van 25 procent toch nog net meer dan 50 procent van de stemgerechtigde aandelen van Heineken NV controleren. De familie mag economisch gezien niet de eigenaar zijn, ze is juridisch gezien wel de baas.
De familie Agnelli bezit 53 procent in de Italiaanse beursgenoteerde houdstermaatschappij Exor. Hieronder ressorteren belangen in Fiat Chrysler (29 procent), Ferrari (24 procent), The Economist (43 procent) en herverzekeraar PartnerRe (100 procent).
De laatste deelneming is vorig jaar voor een slordige 6 miljard euro gekocht en wordt inmiddels beschouwd als het waardevolste bezit van de familie Agnelli. De particuliere Fiat-holding ontwikkelt zich tot een breder gespreid professioneel beleggingsfonds dat steeds verder van Fiat af staat.
Beloning voor trouw
De familie Agnelli controleert via Exor met omgerekend 15 procent van de aandelen van Fiat Chrysler ruim 44 procent van de stemmen. En het ligt voor de hand dat dit verschil na de verhuizing naar Amsterdam nog verder uiteen gaat lopen.
De Agnelli’s hebben namelijk het voornemen om aandeelhouders van hun beursgenoteerde holding te belonen voor trouw. Die constructie werkt als volgt. Ten eerste worden de aandelen van Exor S.p.A. (Società per Azioni – de Italiaanse equivalent van een naamloze vennootschap) vervangen door aandelen Exor NV. Dit Hollandse aandeel wordt ook weer verhandelbaar op de Italiaanse beurs.
Aan ieder aandeel is één stemrecht verbonden. Wie na vijf jaar nog steeds dit aandeel bezit, ontvangt een ‘stemaandeel A’ waaraan vier extra stemrechten zijn verbonden. En dit stemaandeel A zal na tien jaar omgezet worden in een stemaandeel B waaraan negen stemrechten zijn verbonden.
Op deze manier schept de familie de ideale condities om zijn controle te behouden en tegelijkertijd het kapitaalbelang in holding Exor af te bouwen. Dit is natuurlijk alleen mogelijk als de komende jaren er ook aandeelhouders zijn die hun stukken Exor gaan verkopen.
Voor beursgenoteerde maatschappijen is het namelijk zeer aannemelijk dat meer dan de helft van die aandeelhouders zijn effecten de komende jaren verkoopt. Het is immers onder professionele beleggers zeer gebruikelijk om regelmatig beleggingen te kopen en te verkopen.
Een kleine rekensom. De familie Agnelli bezit nu 53 procent van Exor, de maatschappij die op de beurs 8,8 miljard euro waard is. Als de helft van de andere beleggers in de komende vijf jaar zijn aandelen verkoopt, zal het stemrecht van Agnelli na vijf jaar automatisch groeien van 53 procent naar 64 procent. Dat betekent dat de familie na vijf jaar zonder veel problemen 10 procent van de aandelen zal kunnen verkopen zonder dat het de controle verliest.
Volgens een woordvoerder van Exor spelen fiscale redenen nauwelijks een rol bij de verhuizing van de moedermaatschappij naar Nederland. Juist omdat belangrijke werkmaatschappijen al in Amsterdam hun vestiging hebben, is het volgens de woordvoerder van belang om de structuur te vereenvoudigen.
Maar de werkmaatschappijen van Fiat en Ferrari, die al eerder in Nederland zijn gevestigd, zullen hier vast niet zijn gekomen om de bedrijfsstructuur te vereenvoudigen.
Volgende week zaterdag – Italianen zijn gewoon hun aandeelhoudersvergadering in het weekend te houden – zal de hele operatie voorgelegd worden aan de aandeelhouders. Planning is dat de verhuisoperatie, die juridisch gezien een overname is van een Italiaanse holding door een Nederlandse holding, eind dit jaar is afgerond.

Some disagree and say Dark Matter is nonexistent and or immaterial. I respectful disagree, and hopefully have provided additional information in order to assist with understanding how my view came to be on this subject, such that some some new common ground can be broken by bacteria being the dark energetic means and motor along with algae as the agents of the fixation and productions of the nitrogen that is the gas of the Universe.
As more data is generated in understanding how perspective can never stay the same as per the logic contained in a draconian application of the en.wikipedia.org/wiki/Lorentz_transformation to a unwillingness to see the shadow as being cast by the flip side of a reflection, as light is consumed by and transformed by the power of life the is the foam of space which are quarks of bacterial nuclei in repair.

Our group is focused on the study of the optical response of nanostructured materials. We develop theory to explain and unveil new physical phenomena associated with the interaction of light with such materials. In particular, we investigate plasmons in nanoparticles and nanostructures, as well as the interaction of these plasmons with molecules. We provide theory to interpret and extend electron-microscope-based spectroscopy. We are also interested in exploring exotic quantum and classical phenomena involving the optical response of nanostructures, such as quantum vacuum friction, collective optical modes in graphene, and molecular plasmons.
