By the end of the year the project had outgrown its first home and relocated to Mina Dresden Gallery. After a successful run in the art gallery, Pandora settled at 544 Haight St. (That space, now Trunk, is still going strong.) Pandora is embracing her mercurial nature and flitting from place to place, gathering in lovers and haters alike in SoMa, the Mission, Castro, Noe, Potrero... maybe down the street from your house?

 

Rachel is the captain of this uneven ship, having spent years making magical things happen in theatres across the country. After producing music and performance-oriented events in the Bay Area, she wanted more. This schematic (diagram) demonstrates the many different contractual, statutory, and transactional inter-relationships (‘circuits’) between the many stakeholders and public policy demands present in many structured settlements and plans. Ignoring these realities exposes stakeholders to unintended risks and possible catastrophic failures of settlement plans, and loss of the "safe harbor" which they desire. It is in the best interests of each party to carefully consider each of these transaction lines to assure that they have adequately accounted for these requirements.

In many ways, this schematic is not unlike the complexities of an integrated electronic circuit. A key to smooth operation of an electronic circuit is to assure that every circuit has a positive and a negative, a beginning and an end – a closed circuit. The electronic engineer is a planner; and the engineer designs the circuits to perform their intended tasks. If there are any incomplete circuits, they are referred to as ‘short circuits’. As many know, ‘short circuits’ will lead to malfunction of the electronic device, and in many instances, short circuits can result in fire, or catastrophic failure.

With structured settlements, and more importantly Settlement Planning, the Settlement Planner, is not unlike the electronic engineer, drawing up the transaction lines to assure that the settlement plan (device) functions smoothly. Similarly, if a transaction involves an incomplete contract, or lacks a perfection of intent and purpose, then these are essentially ‘contractual’ short circuits. With this, there can (and perhaps will), be unintended consequences or catastrophic failure of the settlement intent, which for many stakeholders this means loss of safe harbor.

By applying these simple principles to the convoluted structured settlement and planning environment, stakeholders may more efficiently apply their resources toward their respective goals, and reach and maintain safe harbor.

JACKSONVILLE, Fla. (February 14, 2022) – The JAXPORT Board of Directors today unanimously approved a 20-year, $60 million agreement between Ceres Terminals and JAXPORT for the lease and modernization of the TraPac Jacksonville container terminal in Jacksonville, Florida.

 

In a separate transaction, Ceres will purchase the terminal’s previous leaseholder, terminal operator TraPac Jacksonville, LLC from Mitsui O.S.K Lines, Ltd. (MOL), subject to closing conditions. Details of the private transaction, including purchase price, have not been disclosed.

 

Subject to completion of the sale, Ceres will begin operating the 158-acre container facility located at JAXPORT’s Dames Point Marine Terminal on March 1st.

 

The agreement includes a $45 million lease with JAXPORT. Ceres will also make $15 million in terminal upgrades, including investments in cargo handling equipment and systems.

 

A leading international terminal operator, Ceres has 60 years of experience with operations at many of North America’s largest ports. The company is experienced in terminal development, operations and stevedoring for a variety of cargo types and trade lanes.

“We are excited about our long-term commitment to JAXPORT and the local community. Our significant investment in Dames Point Terminal provides an excellent gateway for South Atlantic-based distribution centers, well into the future,” said Craig Mygatt, Ceres Terminals CEO.

“An investment of this magnitude speaks volumes about the opportunity that exists in Jacksonville,” said JAXPORT Board Chair Wendy Hamilton. “We are grateful to Ceres for their continued investment in our community and look forward to growing this important partnership in the future.”

JAXPORT’s largest single-tenant operated facility by acreage, TraPac Jacksonville features two 1,200-foot-long berths and six post-Panamax container cranes. Along with the existing Asian and South American services, the facility recently accommodated Hapag-Lloyd’s AL3 European container service, which rerouted to JAXPORT for nine weeks to avoid US port congestion.

“The ongoing supply chain disruption underscores the significance of this agreement and the importance of the capabilities offered by the TraPac Jacksonville facility,” said JAXPORT CEO Eric Green. “When we put together JAXPORT’s Strategic Master Plan, our focus was growing cargo volumes and the private sector jobs they support. This agreement is a major step forward in the evolution of that plan. We thank MOL for their partnership over the years and look forward to growing the economic impact this facility has on our community under its new ownership with Ceres.”

Grrr flickr wasn't behaving when I got home after craft night with TransAction. So I just gave up and went to bed.

 

This was just a quick shot while walking Starla after work for mom, and before I left to ride over to do crafts night with TransAction. It was CRAZY windy outside, and I was a bit scared in the dark in that area by myself, although I had Starla with me. But ack I swear every time I got ready to take some pictures, someone would walk by with a dog and I'd have to get Starla and make sure that dog isn't insane and would attack Starla or anything. Starla is really great with other dogs so I'm not worried about her, I'm worried about them.
